REGISTERED AGENT SERVICES ADDENDUM

This Addendum includes supplementary information, such as additional terms, conditions or provisions to the Customer Service Agreement Terms and Conditions ("Agreement") entered into upon payment for services and the submission of the required documents ("Effective Date"), by and between:

Online Doc Vault Limited Liability Corporation (“Service Provider”), a corporation organized and existing under the laws of the Commonwealth of Pennsylvania, with its principal office located at 9 E Township Line Road, Souderton, PA 18964 ("Service Provider"); and

The Client (Purchaser), must be a business entity duly organized under the laws of the Commonwealth of Pennsylvania ("Client").

WHEREAS, the “Client” desires to engage the “Service Provider” to act as its C.R.O.P. (Commercial Registered Office Provider) and registered agent in the Commonwealth of Pennsylvania; and

WHEREAS, the “Service Provider” agrees to provide such services under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

The “Service Provider” shall provide the following registered agent services to the “Client”:

• Maintain a registered office in Pennsylvania.

• Receive legal and official documents on behalf of the Client.

• Forward all documents to the Client in a timely manner.

• Maintain compliance with applicable state regulations.

2. TERM AND TERMINATION

• This Agreement shall commence on the “Effective Date” and continue for a period of one (1) year, automatically renewing annually unless terminated by either party with thirty (30) days written notice.

• Either party may terminate this Agreement immediately for material breach, insolvency, or non-compliance with legal requirements with no refund of payments.

3. OBLIGATIONS OF CLIENT

• “Client” shall promptly notify “Service Provider” of any changes to its business address or legal status.

• “Client” is responsible for all state filing fees and related expenses.

• “Client” will not involve the “Service Provider” for any illegal activity.

4. PAYMENTS

• “Client” shall be auto-renewed annually as of the purchase date and payment will be immediately due.

• “Client” understands that there is an initial 2-day delay in service that is included for set up of account and portal with the start date countdown based on the “Service Provider’s” receipt of the properly and completely filled out Registered Agent Client Questionnaire.

5. LIMITATION OF LIABILITY

• The Service Provider shall not be liable for indirect, incidental, or consequential damages arising from its services. The total liability shall not exceed the fees paid by Client within the past twelve (12) months.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.

The parties have executed this Agreement as of the Effective Purchase Date.
